NOTICE IS HEREBY GIVEN THAT the Seventy Sixth Annual General Meeting of Shareholders is to be held at the Zimplow Holdings Limited Head
Office No.10 Harrow Road, Msasa, Harare at 1000hrs on 29 June 2026 as well as virtually via the link https://escrowagm.com/eagmZim/Login.aspx for the purpose of transacting the following business :-
ORDINARY BUSINESS

1. To approve the minutes of the Annual General Meeting held on 30 June 2025.
2. To receive, approve and adopt the audited Financial Statements and Reports of the Directors and Auditors for the financial year ended 31
December 2025.
3. To re-elect Mr Benjamin Kumalo, who retires by rotation in terms of the Articles of Association and being eligible, offers himself for re-election.Mr Kumalo is retired and has extensive experience in the manufacturing, tourism and automotive industries. He is the Chairman of
Zimplow Holdings Limited. He is a holder of a Bachelor of Accountancy (Hons) Degree and is a Chartered Accountant. He sits on boards of
various institutions including but not limited to an entity carrying on business in the life assurance sector.
4. To re-elect Mr Benjamin Burr, who retires by rotation in terms of the Articles of Association and being eligible, offers himself for re-election.
Mr Burr is a property professional with more than sixteen (16) years of experience in the property sector locally and within the region. In the
course of his career, he held the position of Managing Director of CBRE Excellerate Zimbabwe for five years and currently consults for a
number of listed and private limited companies as it pertains to the management and development of immovable properties, disposals and
acquisitions. He also provides development management consultancy services for several significant projects under construction and in the
pipeline. Mr Burr currently sits on a number of boards carrying on business in the logistics and environmental conservation sectors. He is a
holder of a Bachelor of Commerce Degree from Rhodes University majoring in Business Management and Economics.
5. To re-elect Mr Kalpesh Patel, who retires by rotation in terms of the Articles of Association and being eligible, offers himself for re-election.
Kalpesh is a seasoned executive in the Steel & Mining industry and is currently the Chief Executive Officer & Vice Chairman of Steelmakers
Group and is in charge of its Sub- Saharan operations. He possesses a BSc in Economics and a BA in Political Science including a MSc in
Economics from the London School of Economics. He sits on boards of various institutions including but not limited to companies carrying
on business in the banking, insurance and healthcare sectors.
6. To approve the Directors’ remuneration for the financial year ended 31 December 2025.
7. To fix the Auditors’ remuneration for the year ended 31 December 2025.
8. To re-appoint Messrs Grant Thornton (Zimbabwe) as Auditors of the Company until the conclusion of the next Annual General Meeting.
Grant Thornton (Zimbabwe) has served the Company for the past three (3) years.

ANY OTHER BUSINESS
9. To transact such other business as may be transacted at an Annual General Meeting.

APPOINTMENT OF PROXIES
In terms of the Companies and Other Business Entities Act [Chapter 24:31], a member entitled to attend and vote at a meeting is entitled to
appoint a proxy to attend and vote on a poll and speak in his stead. A proxy need not be a member of the Company. Duly completed proxy forms
must be lodged at the office of the Company Secretary not less than 48 hours before the commencement of the meeting.

Members who may not physically be able to attend the meeting shall be able to do so via the eAGM platform and such members are requested
to register using the link above, at least 48 (forty-eight) hours before the commencement of the meeting or to inform the Transfer Secretaries to
make the appropriate arrangements.
